CANADIAN TRADES’ SERVICES CO-OPERATIVE
Bylaws

ARTICLE 1. - INTERPRETATION
1. "Act" means the Co-operatives Act R.S.A 2001 Chapter c-28.1, as amended and any Act
passed in substitution therefor.
2. "Board" means the Board of Directors of the Co-op and "Directors" has the same meaning.
3. "Co-op" means CANADIAN TRADES’ SERVICES CO-OPERATIVE, a co-operative
incorporated under the laws of Alberta that is owned and democratically controlled by its
members, which seeks to help and support individual trades people to be self-employed.
4. "good standing" means that a Member is not in arrears in respect of any Class A shares or
other financial obligations of such Member to the Co-op, and has complied with all other
requirements of Membership.
5. "Member" or "Membership" means, collectively, Co-op Regular Members, unless the context
determines it to be otherwise.
6. "Members' Meeting(s)" means the Annual General Meeting of the Members, and any special
general meetings of the Members of the Co-op.
7. "Region" means a geographic area as designated from time to time by the Board and
approved by the Members, at a Members' Meeting, upon recommendation of the Board.
8. "Regular Member" means an Apprentice or Journeyman Construction Tradesman whose
membership has been approved by the Board and may include Apprentice or Journeyman
Construction Tradesman operating within a Region or carrying on activity on a co-operative
basis in a designated field of endeavour.
9. “Special Resolution” means
a. a resolution passed
i. At a general meeting of which not less than 21 days’ notice specifying the
intention to propose the resolution has been duly given, and
ii. By a majority of not less than 75% of the votes of those Member who, if entitled
to do so, vote in person,

b. a resolution proposed and passed as a special resolution at a general meeting of which
less than 21 days’ notice has been given, if all the Members entitled to attend and vote
at that general meeting so agree, or
c. a resolution consented to in writing by all the Members who would have been entitlte4d
at a general meeting to vote on the resolution in person.
10. In this by-law, words importing the singular number shall include the plural and vice versa.
Words importing the feminine gender shall include the masculine and neuter genders, and vice
versa. References to persons shall include firms, companies, and corporations.
11. Unless the context otherwise indicates, all words and phrases used in this by-law shall have
the same meaning as in the Act.
ARTICLE 2. - MEMBERSHIP
1. Designation. The Membership of the Co-op shall be limited to those persons interested in
furthering the objectives of the Co-op and shall consist of the following categories of
Membership:
a. "Regular Members", as further defined in Article 2, herein, shall be entitled to attend all
Members' Meetings, shall be entitled to vote on motions, may stand for election for an
office of the Board and shall enjoy any other rights accorded to such Members pursuant
to the Act, the Articles of Association and the by-laws of the Co-op;
b. "Honorary Members" means individuals who in the opinion of the Directors have made
an outstanding contribution to the Co-op and warrant designation as Honorary Members
of the Co-op and shall enjoy all the rights accorded to the Regular Members pursuant to
the Act, the articles of association and the by-laws of the Co-op, with the exception that
Honorary Members may not stand for election for the Board, and that participation of
Honorary Members at Members' Meetings shall be limited to that of observers without
the right to vote, although they may participate freely in the debate; and
c. “Developer Members,” as further defined in Article 3 Section b herein, shall enjoy all
rights accorded to the Regular Members pursuant to the Act, the articles of association
and the by-laws of the Co-op, with the exception that they may not stand for election for
the Board.
2. Membership Benefits
a. The value of the Membership benefits in the Co-op will be decided by ordinary
resolution of the members at a members' meeting.
b. All Members of the Co-op shall have substantially the same benefits as those of all
other Members of the same Membership category in the Co-op. The benefits of
Membership shall be:

i. The shared services and support as created and administered from time to time
by the Co-op for the benefit of its Members. Such services and support may
include, but not be limited to, the following:
a. the facilitation of customer leads and contracts
b. acquiring of trades permits by contracting Master or equivalent Tradesmen
c. consultation services from master or equivalent Tradesmen
d. performance insurance
e. liability insurance
f. inspection of trades and other inspection of customer sites
g. guidance regarding Occupational Health and Safety standards
h. quality assurance and quality control systems and reviews
i. advertising
j. office space
k. office equipment
l. office personnel
m. dispatching services
n. accounting services
o. group buying power (wholesale)
p. rental of tools
q. rental of vehicles
r. estimating training or mentoring
s. support for debt collection
t. master or equivalent tradesmen training or mentoring
u. other types of contractor training or mentoring
v. apprenticing Tradesmen
ii. attend all meetings of Members
iii. receive a certificate of Membership, if the Member has paid all applicable
Membership fees;
iv. receive from the Co-op a certified copy of its by-laws, on request and without
payment;
v. have access to the accounting records of the Co-op;
vi. have access to the auditor's report; and
vii. enjoy any other Membership benefits which are set out in the Act or which are
embodied from time to time in the by-laws of the Co-op.
3. Application for Membership. Each Regular Member and each Developer Member shall have
submitted an application to the Co-op for admission as a Member. Such application shall have
been approved by the Board of the Co-op and each Member shall have received notice of
acceptance as a Member.

a. Each Regular Member must be an Apprentice, Journeyman Construction Tradesman,
or Journeyman equivalent whose eligibility for membership has been confirmed by the
Directors
